Terms of Service

These Terms of Service govern your use of the KNpay platform operated by KNprovider Holding ("KNpay", "we", "us"). By creating an account you agree to these terms.

1. About KNpay

KNpay is a Danish invoicing platform that enables businesses to create invoices and receive payments via PSD2 bank transfers (Finshark). KNpay is not a payment service provider — we initiate payments on behalf of users through Finshark, which is an authorised Payment Initiation Service Provider (PISP) under PSD2.

2. Account Access

• You must hold a valid Danish CVR number to create a business account
• You are responsible for keeping your login credentials confidential
• You may not create an account on behalf of another party without authorisation
• We reserve the right to suspend or close accounts in the event of misuse

3. Pricing and Fees

KNpay charges a per-invoice fee deducted from the seller:

• B2C (private individual): DKK 4 per invoice
• B2B standard (below DKK 30,000): DKK 6 per invoice
• B2B large invoice (DKK 30,000 and above): DKK 149 per invoice

The fee is automatically deducted via Finshark upon completed payment. The fee is never shown on the customer-facing invoice.

4. Payments via Finshark

Payments are initiated through Finshark AB, authorised as a Payment Initiation Service Provider under PSD2. KNpay does not store bank account numbers or card details. Payments are processed as bank transfers and are typically instant, but may take up to 2 banking days during public holidays, weekends or due to bank technical conditions.

5. Invoice Requirements and VAT

• It is the user's responsibility to ensure that invoice information is accurate and lawful
• VAT-registered businesses must apply VAT correctly in accordance with Danish VAT legislation
• KNpay automatically calculates VAT based on business type and invoice amount
• KNpay is not liable for tax errors resulting from incorrect information provided by the user

6. Dissolved and Bankrupt Companies

KNpay warns users if a CVR number is registered as dissolved, under liquidation or bankrupt via Virk.dk. However, it remains the user's sole responsibility to assess the risk of sending an invoice to such companies.

7. Limitation of Liability

KNpay is not liable for:

• Losses resulting from non-payment by invoice recipients
• Delayed payments due to banking technical conditions
• Losses resulting from incorrect information entered by the user
• Service interruptions at Finshark, Supabase or other third parties

8. Termination

You may terminate your account at any time by contacting us. Invoices and related data will be retained for 5 years in accordance with Danish bookkeeping legislation.

9. Changes to Terms

We may update these terms with 30 days' notice via email. Continued use of KNpay after the effective date constitutes acceptance of the updated terms.

10. Governing Law and Jurisdiction

These terms are governed by Danish law. Disputes shall be resolved by the Danish courts.
